Schneider Electric, together with Alstom, held exclusive negotiations with AREVA editor's note: Areva group, a French nuclear energy giant, announced on November 30 that the group's supervisory board had selected the combination of Alstom and Schneider Electric Group, which would acquire Areva's power transmission and distribution business in the form of a joint venture. Schneider Electric and ALSTOM are satisfied with AREVA's decision to agree to its proposal for exclusive negotiation. The purpose of the negotiation is to implement the disposal agreement, which ultimately needs to be approved by the French National Commission for participation and asset transfer, as well as the opinions of employee representatives and the consent of the competition authority. The two partners reiterated that with the strong support of Areva's power transmission and distribution employees, this joint bidding proposal will maximize the value of the company and establish a 61 coherent framework with a wire blocking device that can adjust the height up and down under the fixture to develop Areva's power transmission and distribution business

this project will place the transmission and distribution business at the strategic core of the two groups, and will create two major global professional groups upstream and downstream of the power market

Areva's transmission and distribution business is currently ranked third in the world. Alstom will take over the transmission business of Areva's transmission and distribution business (accounting for about two-thirds of its business), while the distribution business accounting for about one-third of Areva's transmission and distribution business will be operated by Schneider Electric. The flexibility of the proposed integration project peek will make Schneider Electric and ALSTOM become two global leaders in this market:

· facing the upstream, Alstom (turnkey power plant, steam turbine and generator) will provide power, which will be transferred from AREVA power transmission and distribution to ALSTOM through transmission completion (ultra-high and high voltage)

Alstom and Schneider Electric will maintain and develop the connection between transmission and distribution in various fields, including: adopting the same standards (hardware and software) in the technical field through cross purchase agreements in the commercial field, and innovating in the joint research and development of the concept of "smart electricity"

Alstom and Schneider Electric will expand Areva's power transmission and distribution business in turnkey projects. After integrating Alstom and Schneider Electric, it will increase from 1.6 billion euros currently limited to the power transmission and distribution market to more than 8 billion euros covering the entire power market

Alstom and Schneider Electric have submitted a bidding scheme to maximize the value of Areva's transmission business. They proposed to jointly acquire Areva's transmission business with an equity value of 2.29 billion euros. As of June 30, 2009, AREVA's net debt of transmission and distribution business was about 1.05 billion euros

after the completion of the transaction, Schneider Electric and ALSTOM plan to acquire the shares of Areva power transmission business through joint legal channels, so as to gradually transfer the business to Schneider Electric and Alstom
